TERMS & CONDITIONS FOR OUR SERVICES

Please read the following terms and conditions carefully as they outline ours and your rights in relation to our web design services.

Supply of Services
Virtulance shall supply the services and create the products in accordance with the charges.

Acceptance of Website
The client will have two working days from the hand over date of the finished product going live on the internet to identify any dissatisfaction with the website. If identified outside of this window, the client may be charged at an hourly rate for any further alterations to the final product.
Within this two working day acceptance period, the client is responsible to thoroughly check all website content is accurate and true to the business – any misinformation is at the responsibility of the client and Virtulance will not be held accountable.
If no correspondence is received within the two working days, the client will be deemed to have accepted the website.

Acceptance of Logo
In the acceptance of the quotation of logo design, the client is required to provide as much detail as to any preferences such as colour schemes or layout as possible.
Virtulance will submit an initial design template to the client. Thereafter, the client will have three further review opportunities to develop their desired logo. If after third submission, the client still requests adaptations, the client may be charged at an additional hourly rate – at the discretion of Virtulance.
Logo’s will be supplied in various vector formats (.pdf .png and .jpg) for multiuse purposes for the client (i.e printing or on-screen use). Virtulance will not be held accountable in the event that the client or any third-party printing agencies use the incorrect format resulting in a low-quality outcome.

Graphic Design
In the acceptance of the quotation of graphic design services, the client is required to provide as much detail to any preferences such as colour schemes or layout as possible, and provide their logo if applicable. Virtulance will submit an initial design template to the client. Thereafter, the client will have two further review opportunities to develop their desired graphic. If after second submission, the client still requests adaptations, the client may be charged at an additional hourly rate – at the discretion of Virtulance. Virtulance will not be held accountable in the event that the client or any third-party printing agencies use the incorrect format resulting in a low-quality outcome.

Please note: When ordering any print materials or digital artwork, it is the client’s responsibility to proof check that all the information they require is on the document, and that everything on the artwork is accurate and spelled correctly. By approving the artwork you are agreeing that everything on the document is final and ready to be sent to print. We will only proceed with order(s) once a confirmation of artwork approval is sent in writing. We are not responsible for any errors noticed after print & any requests for a reprint will be charged at the full rate.

Acceptance of Other Products
Acceptance of other products shall be deemed to occur at the time of delivery.

Charges and Payment
Virtulance will provide a detailed quote and proposal to the client following an initial discussion about website requirements.
The client will be invoiced on acceptance of the proposal and given 30 days to pay the balance.
The client acknowledges and agrees that estimates given at the time of proposal may change due to any additional requests made by the client. In such events, Virtulance will issue a separate invoice outlining the additional costs.
Full balance of all website invoicing will be required before the website will be released to the client or posted live on the internet. Any failure or delays in payment will result in all rights to the website being held by Virtulance until full payment has been received.
Virtulance has the right to charge interest on any overdue payments at a rate of 3% per month from the payment due date agreed in the initial proposal.

Copyright & Permissions
The Client agrees to indemnify and hold harmless the Service Company, Virtulance, against any and all claims, costs, and expenses, including attorney’s fees, due to materials included in the work at the request of the Client for which no copyright permission was released.

Client Responsibilities
The client acknowledges that Virtulance’s ability to complete the services agreed is fully dependent upon the client’s timely co-operation to provide all relevant and accurate information and materials required to finish the website (i.e. images, documents, feedback, any desired content).
The client ensures that they own all Property Rights of all materials that are supplied to Virtulance for the usage on the website or any services provided.

Domain Name
The client accepts full responsibility and liability for the use of and registration and upkeep of any domain name purchased for use for the website.

Advertisement
The client hereby grants Virtulance the right to:
– Showcase any websites or graphics created as part of it’s advertising or as part of a portfolio of work.
– Store contact information as part of mailing list for newletters and future offers and promotions.
We do not distribute any information to third parties.

Termination
Either party may terminate an agreed proposal by giving 30 days written notice to the other of such termination. In the event that work is to be postponed or terminated at the request of the Client, the Service Company shall have the right to bill pro rata for work completed through the date of that request. If additional payment is due, this shall be payable within thirty days of the Client’s written notification to stop work. In the event of termination, the Service Company shall own all rights to the Work. The Client shall assume responsibility for all collection of legal fees necessitated by default in payment.
